It mainly depends on the corporate culture of the company and its objectives. In Mike and Jan it is possible to observe a values-based culture, while in Jan a traditional culture based on compliance. The difference between them is fundamentally that in the former the fundamental function of ethics is considered to be obeying the law and rules, and in the latter more priority is given to a set of values than to rules, referring to "doing the right thing" right thing as well as doing things right” (Hartman & DesJardins, 2011). In conclusion, leaders play an important role in a company's corporate culture and are one of the members that form corporate governance. According to Treviño Hartman, & Brown (2000) to be an “ethical leader” it is necessary to be a moral person, and at the same time a moral manager. (as cited in Crane & Matten, 2010). This implies, on the one hand, possessing values such as honesty and integrity (in relation to the moral person); on the other, following ethical behavior on a professional and private scale, rewarding the moral behavior of employees and punishing unethical conduct and having a dialogue about ethics with employees. (Treviño et al., 2000, as cited in L. van den Akker, Heres, Lasthuizen & Six, 2009). Finally, regarding the characters, in my opinion only Mike and Jan would be ethical leaders, because they can combine benefits and ethics.
